1. Introduction

Welcome to Websolutely! By engaging in our website design, development, SEO, or digital marketing services, you agree to the following terms and conditions. Please read them carefully.

2. Payment Terms

2.1 Invoices: All invoices are to be paid in full within 7 calendar days of the invoice date unless otherwise agreed in writing (“Due Date”).

2.2 Late Payments: If payment is not received by the Due Date, we reserve the right to:

• Place the website on hold from 00:01 (UK time) on the day after the Due Date where we control the hosting and/or DNS. “On hold” means we may temporarily suspend the site or replace it with a neutral holding page until cleared payment is received. We will not state the reason for the hold on the public page.
• Suspend ongoing services, including website maintenance, updates, backups, and SEO work, until payment is received.
• Charge a late payment fee of £25.

2.3 Deposit: For larger projects, a 50% deposit is required before work begins. The remaining balance is due upon project completion and before the website goes live.

2.4 Project Sign-Off: The final balance is due upon project completion and sign-off. Failure to pay the balance may result in the withholding of website files, access, or additional services.

2.5 Reactivation: Once full cleared funds are received, we will reinstate suspended services and/or remove the holding page as soon as reasonably practicable during business hours.

3. Website Design and Development

3.1 Scope of Work: All work will be carried out as per the agreed project scope. Any changes or additions to the scope will be charged at an additional rate and may extend the delivery time.

3.2 Content: The client is responsible for providing all content (text, images, videos) required for the project unless agreed within the proposal. If additional content creation or editing is required, it will incur extra charges.

3.3 Testing and Launch: We will thoroughly test the website on major browsers and devices. Upon final approval and payment, the website will be launched. Any bugs or issues found post-launch will be fixed free of charge.

4. SEO Services

4.1 SEO Results: While we aim to achieve the best possible rankings, we do not guarantee specific search engine positions. SEO is an ongoing process, and results may vary based on competition, market conditions, and search engine algorithm changes.

4.2 Ongoing Work: SEO services are provided on an ongoing basis and billed monthly. If payments are not made on time, we reserve the right to halt all SEO work until payment is received (and, where applicable, to place the website on hold under clause 2.2).

4.3 Client Cooperation: The client agrees to provide necessary access to website analytics, hosting, and other relevant information to carry out effective SEO services.

5. Intellectual Property

5.1 Ownership: Upon full payment, all website files, designs, and code created by Websolutely for the client will be the client’s property.

5.2 Third-Party Software: Any third-party software or plugins used in the website design (such as WordPress plugins) are subject to their own licence terms and are not owned by Websolutely.

6. Cancellation and Termination

6.1 Cancellation of Services: For one-off projects (such as website design or development) where a deposit has been paid and the proposal has been agreed, the full remaining balance is still due, regardless of whether the client chooses to continue or cancel the project. As this is a business-to-business (B2B) transaction, no refunds or cancellations are allowed once the project has commenced, and the client is liable for payment of the full project cost.

6.2 Refund Policy: No refunds will be provided for any work that has already been completed or any monthly services already rendered.

6.3 Termination by Websolutely: We reserve the right to terminate services immediately in the event of:

• Abusive or inappropriate behaviour.
• Failure to provide necessary information/access within 6 months of the project start date.
• Non-payment.

In such cases, any outstanding balance will remain due and payable.

7. Liability

7.1 Limitations: While we strive to provide error-free websites and SEO services, Websolutely is not liable for any losses, damages, or missed opportunities resulting from website downtime, errors, or changes in search engine rankings, including any downtime arising from suspension under clause 2.2.

7.2 Third-Party Providers: We are not responsible for downtime or issues caused by third-party hosting providers, domain registrars, or other external services.

8. Confidentiality

8.1 Data Protection: We will keep all client information and project details confidential. Websolutely complies with applicable data protection regulations (such as GDPR).

9. Amendments to Terms

We reserve the right to update these Terms and Conditions from time to time. Any changes will be communicated to you in advance.
